All Terms of Website Use
are in addition to the following Optimization Campaign Conditions. Subia Search
Engine Optimization (Subia), a division of The Subia Corporation, an Arizona Corporation,
assumes no liability of any damages whatsoever beyond reimbursement of fees paid
to Subia for services rendered, excluding search engine submission or inclusion
fees. |

The venue for any legal conflicts shall be Maricopa County, Arizona
within the laws of the State of Arizona. |

Campaigns that are not prepaid will be invoiced monthly and will
be applied to an approved credit card on file if invoices are not paid current
within 30 days. |

Client agrees that it shall permit Subia staff to implement any
page re-coding. The Client reserves the right to inspect such code before uploading
to its host server. Client shall provide Subia with FTP access to Client web files
unless otherwise negotiated. |

Client shall inspect and proofread all optimization coding within
2 days of presentation to client. Upon Client approval, website files will be
uploaded to the Client server within 24 hours. |

Graphics and web page re-layout is not included in optimization
fees unless specifically included in the Subia estimate proposal. Subia optimization
fees include all items listed under Search Engine Optimization and is specifically
limited to HTML content and implementation of web page title tags and metadata. |

Client agrees to adhere to Subia optimization recommendations.
Any work performed by the Client to prepare pages for launch
or re-launch shall be produced in an expedient manner. Client
agrees that time-is-of-the-essence. |

If programming of dynamically generated pages is required to
facilitate Subia optimization recommendations, Client will perform these in a
timely manner. |

Client shall immediately advise Subia of any changes made by
the Client to the subject website for optimization conditions review. Changes
made by the Client that are in conflict of optimization recommendations made by
Subia shall void any guarantees. |

Client shall provide continuous ongoing link popularity accumulation
to its best efforts during the initial agreement period and during any optional
ranking maintenance period. |

Client agrees that all targeted pages shall be submitted to all
search engines and directories supported by Subia without exception. It further
agrees that all submission and/or inclusion fees charged by any search engine
and directory are the responsibility of the Client to be prepaid prior to submission.
Presently, Looksmart also assesses a pay-per-click charge through its network
of partner alliance engines, which is also the responsibility of the Client. |

Client shall not mandate that Subia violate any guidelines of
indexing by any supported search engine or directory. Subia will not cloak any
pages or hide same color content on same color background or otherwise knowingly
commit spam methods of presenting HTML content to a search engine spider and different
content to the user. |

Client must agree to modify its website to meet the indexing
guidelines of Yahoo, the Open Directory Project (ODP) and Looksmart directories
and the optimization advantages recommended by Subia to maximize the potential
of highest possible rankings. The Client's website must meet the terms and conditions
of each directory specified above otherwise Subia reserves the right to waive
the guarantee. |

Client agrees that copy modifications recommended by Subia to
its required keyword densities and frequencies shall be implemented by the Client
provided that compelling aspects are not adversely affected |

Subia shall not accept campaign projects involving pornographic,
hate, anti-USA or any website that violates law. |
|
